These Terms of Service (“Terms”) govern your access to and use of the website, software products, and services operated by Orisun Labs LLC (“Orisun Labs,” “we,” “us,” or “our”), including but not limited to orisunlabs.com, Èdè, Anima, Revi, Thriftify, and any other products or services we offer (collectively, the “Services”).
Please read these Terms carefully. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Services.
By creating an account, downloading our applications, engaging our consulting services, or otherwise accessing or using any part of the Services, you represent that:

Orisun Labs provides the following categories of services:
We develop and distribute consumer-facing mobile applications and web platforms, including Èdè (iOS language learning), Anima (anime social network), Revi (SaaS subscription platform), and Thriftify (AI-powered thrift marketplace). Each product may have its own supplemental terms, which will be presented to you at the time of use.
We provide custom software development services, including React Native mobile app development, full-stack web development, SaaS architecture, and technical consulting. Engagements are governed by a separate Statement of Work or Service Agreement, which will supersede these Terms where there is a conflict specific to that engagement.
We offer technical guidance and advisory services for startups and founders. Consulting engagements are scoped individually and formalized in a written agreement.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuation of Services.
Certain Services require you to create an account. When creating an account, you agree to:
We reserve the right to suspend or terminate accounts that we determine, in our sole discretion, violate these Terms or our policies.
The Services and all content, features, and functionality thereof — including but not limited to code, design, graphics, text, logos, and trademarks — are owned by Orisun Labs LLC and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use, subject to these Terms. No other rights are granted.
Some Services may allow you to submit, post, or share content (“User Content”). You retain ownership of any intellectual property rights you hold in your User Content. By submitting User Content, you grant Orisun Labs a worldwide, royalty-free, non-exclusive license to use, store, display, and distribute your User Content solely for the purpose of providing and improving the Services.
For custom software development engagements, intellectual property ownership is defined in the specific Statement of Work or Service Agreement signed between Orisun Labs and the client. Unless otherwise agreed in writing, all custom work product is assigned to the client upon final payment.
You agree not to engage in any of the following prohibited activities while using the Services:
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including removing the offending content, suspending or terminating the account, and reporting them to law enforcement authorities.
Certain products (such as Thriftify) offer subscription-based access. By subscribing, you authorize us to charge the applicable subscription fee to your payment method on a recurring basis. Subscription fees are non-refundable except as required by applicable law or as otherwise stated in the product’s specific terms.
Some Services offer in-app purchases processed through Apple App Store or Google Play. Such purchases are governed by Apple’s or Google’s terms of service, as applicable.
Fees for custom development and consulting services are outlined in a separate written agreement. Payment terms, milestones, and refund conditions are specified therein.
We reserve the right to modify pricing at any time. For subscription services, we will provide at least 30 days’ notice of any price increase before it takes effect.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Orisun Labs does not warrant that: (a) the Services will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the Services are free of viruses or other harmful components; or (d) the results of using the Services will meet your requirements.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORISUN LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OR INABILITY TO USE THE SERVICES.
IN NO EVENT SHALL ORISUN LABS’ TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ORISUN LABS IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.
You agree to indemnify, defend, and hold harmless Orisun Labs LLC and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
You may terminate your account at any time by contacting us at hello@orisunlabs.com or through account settings where available. Upon termination, your right to use the Services will immediately cease.
All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware County, Pennsylvania. You consent to the personal jurisdiction of such courts.
If you are a consumer resident in a jurisdiction that requires disputes to be resolved in your local courts, the above provision shall not apply to the extent prohibited by applicable consumer protection law.
We reserve the right to modify these Terms at any time. When we make changes, we will update the “Last updated” date at the top of this page. For material changes, we will make reasonable efforts to provide advance notice, such as through a notice on the Site or an email to registered users.
Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Services.
